Terms of Service
The agreement that governs your relationship with The Way Policy Group.
01Acceptance of Terms
By accessing or using twpolicygroup.com (the "Site"), creating an account, subscribing to a paid plan, downloading materials, or engaging us for consulting services, you agree to be legally bound by these Terms and by our Privacy Policy, Cookie Policy, and Refund Policy, each of which is incorporated by reference.
If you do not agree with any part of these Terms, you must not use the Services. If you are accessing the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization, in which case "you" refers to both you and that organization.
02Key Definitions
For ease of reference, the following capitalized terms have the meanings set out below.
A registered profile that enables access to gated features of the Services.
A person or organization with an active paid subscription to one of our plans.
Any text, data, analysis, reports, briefings, dashboards, code, or media made available through the Services.
Any material that you upload, submit, or otherwise transmit through the Services.
Collectively, the Site, our member portal, dashboards, newsletters, and consulting engagements.
A recurring access plan with a defined billing cycle (monthly or annual) and tier of features.
03Eligibility
To use the Services, you must be at least 18 years of age and legally capable of entering into a binding contract under the laws of your jurisdiction. You must not be barred from using the Services under any applicable law (for example, sanctions or export controls).
If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms and that the organization itself is legally permitted to enter into this agreement.
04Accounts & Membership
Account creation and authentication are managed through our authentication partner, Memberstack. By creating an Account, you agree to:
- Provide accurate, current, and complete information during registration and to keep it updated.
- Maintain the confidentiality of your login credentials, including your password.
- Notify us promptly of any unauthorized access to, or suspected breach of, your account.
- Accept responsibility for all activities that occur under your account, whether or not authorized by you.
- Not share your account with any other person; one account is granted per individual user.
- Use your real name and a legitimate email address; we do not permit pseudonymous accounts for paid plans.
We reserve the right to suspend or terminate accounts that contain false or misleading information, that show signs of unauthorized sharing, that violate these Terms, or that pose a security risk to us or to other users.
05Description of Services
The Way Policy Group provides a range of professional services to governments, businesses, and institutions across Africa and emerging markets. These include:
- Policy research and advisory: custom research, briefings, position papers, and strategic guidance on trade, agriculture, fisheries, and development finance topics.
- Data dashboards: visual analytics on markets, official development assistance, agricultural trade, and related indicators.
- Member content: gated reports, newsletters, and analysis available to paying subscribers.
- Talent and partnership hubs: directories and matchmaking services for experts and partner organizations.
Specific deliverables, timelines, and acceptance criteria for any engagement are described in your applicable subscription plan, engagement letter, or order confirmation, which prevails over these Terms in the event of a direct conflict on a specific deliverable.
Our content and services are intended for informational and strategic guidance. They do not constitute legal, financial, medical, tax, investment, or other regulated professional advice. Decisions based on our work are made at your own risk, and you should consult appropriately licensed professionals for advice specific to your circumstances and jurisdiction.
06Fees, Billing & Subscriptions
6.1 Pricing
Fees for Subscriptions and one-time services are listed on our pricing page or in your engagement letter and are stated in the currency indicated. Unless explicitly stated otherwise, prices are exclusive of applicable taxes, duties, and bank charges. We reserve the right to change pricing for new subscribers at any time and for existing subscribers with at least 30 days' prior notice; pricing changes take effect at the next renewal date.
6.2 Payment
Payments are processed securely by Stripe, Inc., our payment processor. By providing your payment information, you authorize us, through Stripe, to charge the applicable fee to your chosen payment method according to the billing cycle you selected. Accepted payment methods include major credit and debit cards supported by Stripe in your country.
6.3 Recurring Billing
Subscription plans automatically renew at the end of each billing cycle (monthly or annual) at the then-current rate, unless you cancel before the renewal date. By subscribing, you authorize us to charge your payment method on each renewal date until you cancel. You may cancel at any time through your member dashboard or by contacting our billing team.
6.4 Failed Payments
If a scheduled payment fails, we will attempt to retry the charge over a period of up to 10 days and notify you by email. If the payment remains unresolved after 10 days, access to paid features may be suspended until the account is brought current. You remain responsible for amounts that became due during the suspension period.
6.5 Receipts and Invoices
Receipts are issued automatically by email after each successful payment. Detailed invoices are available in your member dashboard. If you require an invoice in a specific format (for example, with your organization's billing details or tax ID), please contact [email protected].
6.6 Refunds
Refund eligibility, calculation methods, and procedures are detailed in our Refund Policy, which is incorporated into these Terms by reference and forms part of your agreement with us.
07Free Trials & Promotional Offers
From time to time we may offer free trials, discount codes, or other promotional offers. These offers are subject to additional conditions disclosed at the point of sale and may be withdrawn or modified at any time. Unless stated otherwise:
- Free trials automatically convert to paid Subscriptions at the standard rate at the end of the trial period, unless cancelled.
- Promotional discounts apply only to the first billing cycle; subsequent renewals are charged at the standard rate.
- Trials and promotional offers are limited to one per customer or organization and may not be combined with other offers.
- We reserve the right to refuse or terminate any trial that we suspect has been obtained through fraudulent means.
08Taxes
You are responsible for any sales, use, value-added, goods-and-services, or similar taxes applicable to your purchase of the Services, except for taxes based on our net income. Where required by law, we will collect and remit such taxes; in other cases, you are responsible for self-assessing and remitting any taxes due to the relevant tax authority.
09Acceptable Use
You agree to use the Services lawfully, ethically, and in good faith. In particular, you agree not to:
- Use the Services for any unlawful purpose, or to facilitate or encourage unlawful activity.
- Reproduce, redistribute, sublicense, sell, lease, or otherwise commercially exploit our Content without our prior written permission.
- Access, or attempt to access, areas of the Services that you are not authorized to use.
- Interfere with, disrupt, or impose an unreasonable load on the Services, including by deploying bots, scrapers, denial-of-service techniques, or vulnerability scanning tools.
- Upload viruses, malware, ransomware, or any other malicious code.
- Reverse-engineer, decompile, or disassemble any portion of the Services, except where permitted by mandatory law.
- Impersonate any person or entity, misrepresent your affiliation, or use the Services to mislead others.
- Use the Services to harass, defame, threaten, or otherwise harm any person.
- Submit content that infringes intellectual property rights, privacy rights, or any other rights of third parties.
- Circumvent any access controls, rate limits, or technical measures we put in place.
Violation of these acceptable-use provisions may result in immediate suspension or termination of your account, removal of offending content, and, where appropriate, referral to law enforcement.
10User Content
You retain ownership of any User Content you submit to the Services. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, and use the User Content for the limited purpose of operating, providing, and improving the Services and fulfilling our obligations to you.
You represent and warrant that you have all necessary rights to the User Content you submit, that the User Content does not infringe any third-party rights, and that it complies with applicable law and these Terms. We may remove User Content that we believe, in our reasonable discretion, violates these Terms or applicable law.
11Intellectual Property
All Content provided through the Services, including but not limited to text, analysis, briefings, graphics, logos, dashboards, visualizations, software, and the overall look and feel of the Site, is owned by The Way Policy Group or our licensors and is protected by copyright, trademark, and other intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Content solely for your internal business or personal informational purposes during the term of your Subscription or engagement. This license does not include any right to:
- Republish or redistribute the Content to third parties.
- Use the Content to develop a competing product or service.
- Remove or alter any copyright, trademark, or other proprietary notice.
- Train artificial intelligence or machine-learning models on the Content.
Any feedback, suggestions, or ideas you provide about the Services may be used by us without restriction or obligation to you.
12Third-Party Services
The Services rely on, integrate with, or link to certain third-party providers, including Stripe (payments), Memberstack (authentication), HubSpot (CRM), and Google (analytics). Your use of any third-party service is governed by that provider's own terms and privacy policies. We are not responsible for the practices of these third parties.
13Service Availability
We strive to keep the Services available 24 hours a day, 7 days a week, but we do not guarantee uninterrupted availability. The Services may be temporarily unavailable due to scheduled maintenance, urgent fixes, infrastructure upgrades, or events beyond our control. We will use commercially reasonable efforts to provide advance notice of scheduled maintenance windows when feasible.
14Disclaimers
THE SERVICES AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND UNINTERRUPTED OPERATION.
WE DO NOT WARRANT THAT (A) THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS; (B) THE SERVICES WILL BE ERROR-FREE OR FREE FROM SECURITY VULNERABILITIES; (C) THE INFORMATION PROVIDED THROUGH THE SERVICES WILL BE ACCURATE OR COMPLETE AT ALL TIMES; OR (D) ANY OUTCOME, INCLUDING POLICY, COMMERCIAL, OR INVESTMENT OUTCOMES, WILL RESULT FROM RELIANCE ON THE SERVICES.
15Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE WAY POLICY GROUP, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, DATA, GOODWILL, OR REPUTATION, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER OR RELATED TO THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF (A) THE AGGREGATE AMOUNTS YOU PAID US IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, our liability is limited to the maximum extent permitted by applicable law.
16Indemnification
You agree to indemnify, defend, and hold harmless The Way Policy Group, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, damages, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from or related to:
- Your breach of these Terms or any applicable law.
- Your User Content or any content you submit through the Services.
- Your use of, or inability to use, the Services in a manner not authorized by these Terms.
- Your violation of any third-party right, including intellectual property, privacy, or publicity rights.
We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, in which case you agree to cooperate with our defense.
17Termination
Termination by you. You may terminate your Subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing cycle; you retain access to paid features until that date. Refunds, where applicable, are governed by our Refund Policy.
Termination by us. We may suspend or terminate your access to the Services, with or without notice, if we reasonably believe that you have breached these Terms, failed to pay any amount when due, engaged in fraudulent activity, or otherwise acted in a manner that could harm us, other users, or the integrity of the Services. We may also terminate inactive accounts after a reasonable period of inactivity.
Effect of termination. Upon termination, your right to access paid features will cease. Provisions of these Terms that by their nature should survive termination, including ownership, disclaimers, indemnity, limitations of liability, governing law, and dispute resolution, shall survive.
18Force Majeure
We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, pandemic, internet outages, or failures of public utilities. In such events, performance is excused for the duration of the force majeure event.
19Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which The Way Policy Group is principally established, without regard to its conflict-of-laws principles.
Informal resolution. Before initiating any formal dispute, you agree to first contact us at [email protected] with a written description of your concern. We will attempt in good faith to resolve the matter within 30 days.
Formal resolution. If the dispute remains unresolved after 30 days, it shall be submitted, at our election, either to binding arbitration administered by a recognized arbitration institution in our jurisdiction, or to the competent courts of that jurisdiction.
Class action waiver. You agree to bring any claim arising under these Terms in your individual capacity. You waive any right to participate in a class action, class arbitration, or representative proceeding.
20General Provisions
20.1 Entire Agreement
These Terms, together with our Privacy Policy, Cookie Policy, Refund Policy, and any applicable engagement letter or order confirmation, constitute the entire agreement between you and us with respect to the Services, and supersede all prior agreements and understandings, whether written or oral.
20.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
20.3 Waiver
Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative.
20.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may freely assign our rights and obligations, including in connection with a merger, acquisition, or sale of assets.
20.5 No Third-Party Beneficiaries
These Terms are intended solely for the benefit of you and us; no third party has any right to enforce any provision.
20.6 Language
These Terms are written in English. Any translation is provided for convenience only; in the event of a conflict, the English version prevails.
21Changes to These Terms
We may revise these Terms from time to time to reflect changes in our Services, our business practices, or applicable law. Material changes will be communicated by email or by prominent notice on the Site at least 14 days before they take effect. Your continued use of the Services after the effective date of any update constitutes acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Services and may cancel your Subscription in accordance with Section 17.
